Welcome to Ryno Delivery! These Terms & Conditions ("Terms") govern your access to and use of the Ryno Delivery mobile application (the "App") and related services (collectively, the "Service"). By using our Service, you agree to comply with these Terms, the User agrees to the application and content of these General Terms and is informed about the processing of personal data disclosed during registration and on the conditions set out in these General Terms If you do not agree, please refrain from using the Service.


  1. DEFINITIONS

Client

means any User of the Ryno that has placed an Order and enters into a Sales Agreement with the Partner and a Delivery Agreement with the Delivery Partner (if applicable).

Delivery Agreement

means the agreement between the Client and the Delivery Partner for the delivery of the Goods ordered by the Client concluded through Ryno.

Delivery Fee

means the fee for the delivery services related to an Order, that the Client pays to the Delivery Partner under the Delivery Agreement. The Delivery Fee is calculated per Location.

Delivery Partner

means any natural person, sole entrepreneur, partnership, or legal entity who has been registered in Ryno as a provider of the delivery service to Clients with respect to Goods ordered through Ryno Delivery.

Drop-Off Location

means the address indicated in the Order, where the Client wishes to receive the ordered Goods.

General Terms

means these terms and conditions are applicable to the relationship between Ryno and the Client in relation to the use of the Ryno by the Client.

Goods

means any goods that the Partner offers for sale through Ryno.

Goods Price

means the net price (together with applicable value added, sales or other taxes where applicable) that the Client has to pay to the Partner for the ordered Goods.

Marketplace

means the virtual marketplace created through Ryno and operated by Ryno that enables the participating Partners to market their Goods to Clients so that the Clients can order the Goods and enter into the Sales Agreement with the Partner and, if applicable, utilize the on-demand delivery services offered at the Marketplace by the Delivery Partners.

Minimum Order Value

means the amount determined by Ryno which indicates the minimum Goods Price for which Small Order Fee does not apply.

Order

means the order of Goods that the Client has placed with the Partner.

Order Price

means the price that the Client has to pay for the purchase(d) Goods and delivery (if applicable) of the Order.

Partner

means the operator of any restaurant or store that Ryno has concluded an agreement with and where relevant, each and every establishment through which the operator conducts its business.

Sales Agreement

means the agreement between the Client and the Partner for the sale of Goods in accordance with the Order.

User

means any person who has registered a user account on Ryno Delivery and uses the services of Ryno through that user account.



1.      Legal framework

·        Sales and Delivery Agreements: The platform facilitates sales agreements between clients and partners, and delivery agreements between clients and delivery partners.

·        Ryno Role: Ryno acts as a provider of information society services, not as a party to sales or delivery agreements.

·        Partner and Delivery Partner Responsibilities: Partners and delivery partners are independent economic and professional service providers, responsible for their own goods and services.

·        User Requirements: Users must meet certain requirements, and minors must obtain parental or legal guardian authorization to use the platform.

·        Content Responsibility: Partners and delivery partners are responsible for uploaded content, and Ryno may remove allegedly illegal content after receiving notice.

·        Notice and Complaint Procedures: Ryno may suspend users who frequently submit manifestly unfounded notices or complaints.

·        Limitation of Liability: Ryno is not liable for the performance of sales or delivery agreements.

·        Indemnification: Users may be required to indemnify Ryno for damages resulting from their use of the platform.

·        Governing Law and Jurisdiction: The terms and conditions are governed by and construed in accordance with the laws of Ghana.

 

2.      USE OF THE SERVICE

  • You agree to provide accurate, up-to-date, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.
  • You must not use the Service for any unlawful, fraudulent, or abusive purposes.
  • Ryno Delivery reserves the right to suspend or terminate accounts found in violation of these Terms.

3.      ORDERING & PAYMENT

  • Orders placed through the App are subject to store availability, stock levels, and acceptance.
  • Prices, applicable taxes, and delivery fees are displayed before checkout.
  • Payments are securely processed through third-party payment providers. Ryno Delivery does not store credit card or payment details.
  • Once an order is confirmed, cancellations may not be permitted unless the merchant or delivery partner is unable to fulfill it.
  • The Client has to pay the Goods Price to Ryno in the amount indicated on the Platform. Goods Prices on the App may differ from the Goods Prices in the Partner’s establishment. The Goods Prices on the App may be changed from time to time before making an Order.
  • Any fraudulent payment activity may lead to legal action and account termination.

4.      DELIVERY & SERVICE AVAILABILITY

  • Delivery times are estimated and may vary due to factors such as distance, product type, traffic, and weather conditions.
  • Ryno Delivery is not liable for delays caused by unforeseen circumstances, high order volume, or force majeure events.
  • If you are unavailable at the time of delivery, your order may be left at a designated safe location or returned to the store, in cases, where the Client is not available at the Drop-Off Location within 5 minutes of the arrival of the Delivery Partner thereto; the phone number provided by the Client cannot be reached by the Delivery Partner within 5 minutes of the Delivery Partner's arrival at the Drop-Off Location; .
  •  Additional fees may apply for re-delivery.
  • Large or wholesale orders may have extended delivery times and could require prior scheduling.
  • Ryno Delivery reserves the right to refuse delivery to any location deemed unsafe or inaccessible.

5.       USER RESPONSIBILITIES

  • You must provide a valid delivery address and ensure accessibility for the delivery partner.
  • You are responsible for checking the condition of the items upon receipt.
  • Any issues with incorrect, missing, or damaged items must be reported within 5 mins of receiving the items via timeframe via customer support.
  • Users must not engage in abusive, threatening, or fraudulent behavior toward merchants, delivery partners, or customer service representatives.

6.       REFUNDS & CANCELLATIONS

  • Refunds are processed based on store policies and may be issued for incorrect, damaged, or missing items.
  • If an order is canceled due to merchant unavailability, Ryno Delivery will process a full refund. 
  • Refund requests must be submitted within the same day of order completion.
  • Delivery fees are generally non-refundable unless a delivery failure is due to an issue with Ryno’s end.

7.      INTELLECTUAL PROPERTY

  • All content, logos, and trademarks displayed on the App are the property of Ryno Delivery and its licensors.
  • You may not copy, reproduce, or distribute any content from the App without prior written consent.
  • Any unauthorized use of Ryno Delivery’s intellectual property may result in legal action.

8.      LIMITATION OF LIABILITY

  • Ryno Delivery is not responsible for any losses, damages, or expenses resulting from the use of the Service, except where required by law.
  • Our liability is limited to the total amount paid for the disputed order.
  • The Partner is solely liable for any defects in the quality and quantity of the ordered Goods or other shortcomings in the performance of the Sales Agreement and Ryno does not assume any liability thereof (including liability for any allergic reactions to food or any other health issues).
  • We do not guarantee the availability, accuracy, or reliability of the Service at all times.

9.       ACCOUNT SUSPENSION & TERMINATION

  • Ryno Delivery reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activities.
  • Users may deactivate their accounts at any time through the App settings.
  • Any misuse of the Service, including chargebacks, fraud, or abuse, may lead to permanent suspension.

10.   MODIFICATIONS TO TERMS AND APP

  • Ryno Delivery may update these Terms periodically. Users will be notified of any significant changes.
  • Ryno may change or remove different parts of the App or change the Platform, its features, and the selection of Partners participating in part or in whole at any time without prior notice.
  • Continued use of the Service after an update constitutes acceptance of the revised Terms.
